Disney Set To Buy Remaining Stake in Hulu from Comcast
Disney will become the sole owner of Hulu soon, as they’ve agreed to buy Comcast’s minority stake in the service. The Walt Disney Company announced on Wednesday today that it will acquire the 33% stake in Hulu that is currently held by NBC Universal after Comcast’s exercised of its right under their previous arrangement.
Disney noted that it expects to pay NBCU about billion, which represents NBCU’s percentage of the $27.5 billion guaranteed floor value for Hulu when the two companies made their agreement in 2019. That put/call agreement meant that Comcast could require Disney to buy them out, or Disney could require NBCU to sell their portion.
The parties will do an assessment of the equity fair value of Hulu as of September 30th of this year, and if the value is determined to be more than the fkoor value then Disney will pay the difference. It is believed that Disney’s cost will be higher. The appraisal process is expected to be completed in 2024.
